Terms of Service

Please read these Terms of Service ("Terms") carefully before using the RxRecon Pro platform ("Service", "Platform", "we", "us", or "our"). By accessing, registering for, or using the Service, you agree to be bound by these Terms. If you are entering into this agreement on behalf of a pharmacy, healthcare organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

For the purposes of these Terms:

  • "Account" means the registered user account created by you or on behalf of your pharmacy to access the Service.
  • "Content" means all data, information, files, documents, reports, and other materials uploaded, transmitted, or generated through the Service.
  • "Covered Entity" means a pharmacy or healthcare provider that is subject to HIPAA and that has entered into a Business Associate Agreement with us.
  • "PHI" or "Protected Health Information" has the meaning given in the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and its implementing regulations.
  • "User" means any individual who accesses the Service through an Account.
  • "Subscription" means the paid or trial access to the Service purchased by you or your pharmacy.

2. Description of the Service

RxRecon Pro is a pharmacy reconciliation and audit intelligence platform designed for independent pharmacies and healthcare organizations. The Service provides tools and analytics for:

  • Reconciling dispensing records against wholesaler and distributor invoices;
  • Tracking and reporting controlled substance inventory and compliance;
  • Analyzing insurance reimbursements, PBM mixes, and financial performance;
  • Generating audit-ready reports for regulatory, DEA, and insurance audits;
  • Monitoring prescription pickup and delivery compliance;
  • Providing patient and medication 360-degree analytics dashboards.

The Service is provided on a subscription basis and may be accessed through a web browser or offline dashboard. All data processing and analytics are performed locally within your browser for the offline version, or on secure, HIPAA-compliant servers for the cloud-hosted version.

3. Eligibility and Registration

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use the Service. By registering, you represent and warrant that:

  • All information you provide is accurate, current, and complete;
  • You are authorized to act on behalf of the pharmacy or organization for which you create an Account;
  • You will maintain the accuracy of your Account information and update it promptly as needed;
  • You will maintain the security and confidentiality of your Account credentials.

We reserve the right to suspend or terminate your Account if any information provided is inaccurate, misleading, or incomplete, or if you violate these Terms.

4. Subscription and Payment

4.1 Subscription Plans

RxRecon Pro offers a single subscription plan with access to all features. Pricing is disclosed on the Pricing page and is subject to change with 30 days' advance notice. All prices are in United States Dollars (USD) and do not include applicable taxes.

4.2 Free Trial

New subscribers may be eligible for a 14-day free trial. During the trial, you have full access to all features. No payment information is required to start the trial. At the end of the trial, your Account will be suspended unless you provide valid payment information and authorize billing.

4.3 Billing and Renewal

Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. Your subscription will automatically renew for the same term unless you cancel at least 24 hours before the renewal date. You may cancel your subscription at any time through your Account dashboard. Cancellation takes effect at the end of the current billing period.

4.4 Refunds

All subscription fees are non-refundable except where required by law. If you cancel during a billing period, you will retain access through the end of that period. We do not provide prorated refunds for partial months.

5. Use of the Service

5.1 Permitted Use

You may use the Service solely for the internal business operations of your pharmacy or healthcare organization. You may not use the Service for any unlawful purpose or in any manner inconsistent with these Terms.

5.2 Prohibited Conduct

You agree not to:

  • Use the Service to process data that is illegal, fraudulent, or violates any applicable law or regulation;
  • Attempt to gain unauthorized access to any portion of the Service, other users' accounts, or our systems;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service;
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Share your Account credentials with unauthorized individuals or allow unauthorized access;
  • Use automated scripts, bots, or scraping tools to access the Service;
  • Upload data containing malware, viruses, or other harmful code.

5.3 Data Upload and Content

You retain all ownership rights in the Content you upload to the Service. By uploading Content, you grant us a limited, non-exclusive license to use, process, and analyze that Content solely for the purpose of providing the Service to you. We do not claim ownership of your Content and will not use it for any purpose outside the core functionality of the platform.

You are solely responsible for the accuracy, legality, and completeness of all Content you upload. You represent that you have all necessary rights and consents to upload and process such Content, including any PHI, in compliance with HIPAA and other applicable laws.

6. HIPAA and Data Protection

RxRecon Pro operates as a Business Associate under HIPAA when processing PHI on behalf of Covered Entities. A separate Business Associate Agreement (BAA) is incorporated by reference into these Terms and is available at HIPAA Business Associate Agreement.

We implement and maintain administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of ePHI, including:

  • AES-256 encryption for data at rest;
  • TLS 1.3 encryption for data in transit;
  • Role-based access controls and multi-factor authentication;
  • Comprehensive audit logging of all data access and modification;
  • Regular security assessments and vulnerability testing;
  • Annual HIPAA compliance training for all personnel with access to PHI.

7. Intellectual Property

All intellectual property rights in the Service, including software, code, designs, algorithms, analytics methodologies, reports, documentation, and trademarks, are owned by RxRecon Pro or its licensors. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the subscription term. You do not acquire any ownership rights in the Service or any underlying technology.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

RXRECON PRO IS A SOFTWARE TOOL DESIGNED TO ASSIST PHARMACY PROFESSIONALS IN THEIR AUDIT AND RECONCILIATION PROCESSES. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT, MANUAL VERIFICATION, OR QUALIFIED PHARMACY OVERSIGHT. ALL REPORTS, ANALYTICS, AND FINDINGS GENERATED BY THE SERVICE SHOULD BE INDEPENDENTLY VERIFIED BEFORE IMPLEMENTATION. THE ACCURACY OF ALL OUTPUTS DEPENDS ENTIRELY ON THE ACCURACY AND COMPLETENESS OF DATA UPLOADED BY THE USER.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RXRECON PRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

IN NO EVENT SHALL RXRECON PRO BE LIABLE FOR ANY ACTIONS TAKEN OR NOT TAKEN BASED ON REPORTS GENERATED BY THE SERVICE. ALL AUDIT FINDINGS, RECONCILIATION RESULTS, AND COMPLIANCE DETERMINATIONS SHOULD BE INDEPENDENTLY VERIFIED BY QUALIFIED PHARMACY PROFESSIONALS BEFORE IMPLEMENTATION.

10. Indemnification

You agree to indemnify, defend, and hold harmless RxRecon Pro and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your Content, including any claims that your Content infringes the rights of any third party.

11. Termination

We may suspend or terminate your Account and access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Upon termination or cancellation of your subscription, we will retain your data for a period of seven (7) years as required by applicable healthcare record-keeping regulations, after which all PHI will be permanently deleted in accordance with our data retention policy.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration in Middlesex County, New Jersey, in accordance with the rules of the American Arbitration Association.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' advance notice of any material changes by posting the updated Terms on our website and sending notice to the email address associated with your Account. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
