Terms of Use
These Terms of Use govern the invite-only RxRecon Pro website subscription. By requesting access, accepting an invitation, or using the service, the subscriber and named administrator agree to these Terms and represent that they are authorized to act for the approved pharmacy.
Service scope and limitations
RxRecon Pro is an assistive reconciliation and audit-review tool. It is not a system of record and does not file claims, contact payers, make clinical decisions, or replace dispensing, wholesaler, accounting, inventory, legal, regulatory, or compliance systems.
RxRecon Pro does not guarantee reimbursement recovery, audit outcomes, regulatory compliance, inventory accuracy, error detection, or uninterrupted operation. Results depend on complete and accurate supported source files. Missing data, incorrect mappings, poor source quality, changed payer, PBM, wholesaler, or dispensing-system formats, unsupported fields, browser limitations, and software defects may produce incomplete, delayed, or incorrect results.
Professional responsibility and verification
All findings, calculations, exceptions, and suggested actions must be independently verified by a qualified pharmacy professional against authoritative source records before reliance or action. The service does not provide legal, clinical, regulatory, tax, or accounting advice. The subscriber remains responsible for professional judgment, recordkeeping, submissions, deadlines, patient care, compliance, and business decisions.
Browser-local processing and records
Supported reports are parsed in the user's browser. Direct patient and prescriber identifiers and the local re-association map are designed to remain on the user's device, while an allowlisted analytical projection is sent to protected compute. Browser memory is temporary: refreshing or closing the page, browser or device resource limits, network interruption, large files, unsupported browsers, and local settings may interrupt work or discard unsaved state. RxRecon Pro is not a backup and does not preserve uploaded reports as an authoritative record.
Regulated data and evaluation
Use only synthetic or appropriately de-identified data during evaluation. Protected health information (“PHI”) may be used only after the pharmacy-specific Business Associate Agreement (“BAA”) has been signed by the subscriber's authorized representative and countersigned by RxRecon Pro LLC through DocuSign, RxRecon Pro has activated the approved location in writing, and the subscriber has implemented the safeguards required by the BAA and these Terms. An access request, website acknowledgment, payment, or invitation acceptance does not execute a BAA or authorize PHI use.
Accounts and approved use
Approval, payment, account membership, and entitlement are separate requirements. Each subscription is limited to one approved physical pharmacy location and one named pharmacy administrator. Credentials may not be shared. Each additional location or administrator requires separate written approval and subscription. The subscriber must protect credentials, promptly report suspected compromise, use the service lawfully, and must not probe, reverse engineer, bypass access or usage controls, submit another pharmacy's data, or interfere with the service.
Subscription and founding pricing
Each subscription covers one approved physical pharmacy location, one named pharmacy administrator, all reporting modules made available in the subscribed platform, and up to 50 protected reconciliation runs per monthly billing period. Unused runs do not roll over.
The Founding Pharmacy Offer is available to the first 50 approved pharmacy locations at $49 per month. That founding price continues while the subscription remains active. After the founding cohort closes, new subscriptions will use the then-current price. If a founding subscription is canceled and later restarted, the then-current new-subscription price applies. Subscriptions are billed monthly in advance and renew automatically until canceled.
Payment, renewal, and cancellation
Stripe processes supported credit and debit card payments. By completing checkout, the subscriber authorizes Stripe to charge the disclosed recurring subscription price and any applicable taxes. RxRecon Pro does not receive or store complete card numbers.
To prevent the next renewal, cancel through any Stripe billing-management option supplied to you or email ADMIN@RXRECONPRO.COM before the renewal date. Cancellation takes effect at the end of the paid billing period. Except where required by law, completed subscription charges are non-refundable and are not prorated.
Availability, support, and changes
The service may be changed, suspended, or unavailable for maintenance, security, provider outages, or other reasons. No uptime, response-time, recovery-time, or support-resolution commitment applies unless a separate signed service-level agreement says otherwise. Report suspected defects to ADMIN@RXRECONPRO.COM with synthetic or de-identified examples only.
Ownership and feedback
RxRecon Pro and its licensors retain rights in the service, software, documentation, branding, and improvements. The subscriber retains rights in its source records and is responsible for having authority to use them. Feedback may be used to improve the service without identifying the subscriber or exposing regulated data.
Warranty disclaimer
To the maximum extent permitted by law, the service is provided “as is” and “as available,” without express or implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or results. Some jurisdictions do not allow certain disclaimers, so those limitations apply only to the extent permitted.
Limitation of liability
To the maximum extent permitted by law, RxRecon Pro LLC and its officers, members, employees, contractors, and licensors will not be liable under any legal theory for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits or revenue; lost, corrupted, or unavailable data; business interruption; reimbursement, audit, regulatory, inventory, or clinical outcomes; or the cost of substitute services, even if advised that such damages were possible. Their aggregate liability arising out of or relating to the service or these Terms will not exceed the subscription fees actually paid for the affected account during the six (6) months immediately preceding the event first giving rise to the claim. These allocations apply to the maximum extent permitted by law and do not limit liability that applicable law prohibits the parties from limiting.
Subscriber responsibility and indemnification
The subscriber will defend, indemnify, and hold harmless RxRecon Pro LLC and its officers, members, employees, contractors, and licensors from third-party claims, investigations, demands, damages, judgments, penalties, fines, losses, liabilities, and reasonable attorneys' fees and costs arising from or relating to: (a) data, files, instructions, or permissions supplied by or for the subscriber; (b) unlawful, unauthorized, negligent, or prohibited use of the service; (c) credential sharing, endpoint compromise, or failure to control workforce access; (d) breach of these Terms or the BAA; (e) violation of law or third-party rights by the subscriber; or (f) reliance on output without the required independent professional verification. This duty does not apply to the extent a final, non-appealable judgment determines that the claim was caused by RxRecon Pro's breach of the BAA, gross negligence, willful misconduct, or other liability that cannot lawfully be shifted. RxRecon Pro may control the defense with counsel of its choice; the subscriber may not settle a claim in a manner that admits fault by, imposes an obligation on, or restricts RxRecon Pro without RxRecon Pro's prior written consent.
Suspension and termination
Access may be suspended or terminated for nonpayment, security risk, unlawful or abusive use, credential sharing, violation of the approved scope, or material breach. Provisions concerning ownership, payment obligations, disclaimers, liability, and disputes survive termination as applicable.
Governing law and disputes
These Terms and any dispute arising out of or relating to them or the service are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, except to the extent federal law or another non-waivable law controls. The state courts located in Middlesex County, New Jersey, and the United States District Court for the District of New Jersey have exclusive jurisdiction, and each party consents to personal jurisdiction and venue in those courts. Before filing a claim, a party must send a detailed written notice to the other party and allow thirty (30) days for good-faith informal resolution, except when immediate injunctive relief is reasonably necessary to prevent unauthorized access, misuse, or irreparable harm.
Changes and contact
