RXRECON PRO PLATFORM TERMS OF SERVICE

1. ACCEPTANCE OF TERMS
By accessing or using the RxRecon Pro platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into this agreement on behalf of a pharmacy, healthcare organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. DESCRIPTION OF SERVICE
RxRecon Pro provides pharmacy reconciliation, audit intelligence, controlled substance tracking, and financial analytics tools. The Service processes pharmacy operational data including dispensing records, wholesaler invoices, insurance claims data, and patient information, solely for the purpose of generating analytical reports and compliance documentation.

3. HIPAA AND DATA PROTECTION
RxRecon Pro operates as a Business Associate under HIPAA. A separate Business Associate Agreement (BAA) is incorporated by reference. All Protected Health Information (PHI) is encrypted at rest using AES-256 and in transit using TLS 1.3. We do not sell, share, or monetize your data.

4. USER RESPONSIBILITIES
You are responsible for maintaining the confidentiality of your account credentials, ensuring the accuracy of uploaded data, and using the Service in compliance with all applicable laws and regulations including DEA, FDA, and state pharmacy board requirements.

5. LIMITATION OF LIABILITY
RxRecon Pro is a software tool designed to assist pharmacy professionals. It is NOT a substitute for professional judgment, manual verification, or qualified pharmacy oversight. All audit findings should be independently verified before implementation.

RXRECON PRO PRIVACY POLICY

1. INFORMATION WE COLLECT
We collect: (a) Account Information: name, email, phone, pharmacy details, NPI, DEA numbers; (b) Usage Data: login times, features used, report generation history; (c) Uploaded Data: pharmacy management system exports, inventory data, dispensing records, distributor invoices.

2. HOW WE USE YOUR INFORMATION
Your data is used solely to provide the Service — generating reconciliation reports, audit analytics, and compliance documentation. We do not use your data for advertising, profiling, or any purpose outside the core functionality of the platform.

3. DATA RETENTION AND DELETION
Account data is retained for the duration of your subscription plus 7 years as required by healthcare record-keeping regulations. Upon account deletion, all PHI is permanently erased within 30 days. Backup data is purged within 90 days.

4. YOUR RIGHTS
You have the right to access, correct, export, and delete your data at any time through your account dashboard.

BUSINESS ASSOCIATE AGREEMENT

This Business Associate Agreement ("BAA") is entered into between RxRecon Pro ("Business Associate") and your pharmacy ("Covered Entity") pursuant to the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and its implementing regulations.

PERMITTED USES AND DISCLOSURES
Business Associate may use and disclose Protected Health Information (PHI) only as necessary to perform the services outlined in the Terms of Service, or as required by law. Business Associate agrees to use appropriate safeguards to prevent use or disclosure of PHI other than as provided for by this BAA.

SAFEGUARDS
Business Associate shall implement and maintain administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of Electronic PHI (ePHI). This includes AES-256 encryption at rest, TLS 1.3 in transit, access controls, audit logging, and regular security assessments.

BREACH NOTIFICATION
Business Associate shall report any Breach of Unsecured PHI to Covered Entity within 24 hours of discovery, in accordance with 45 CFR § 164.410.

DATA ACCURACY DISCLAIMER: The accuracy of all reports, analyses, and findings generated by RxRecon Pro depends entirely on the accuracy and completeness of data uploaded by the user. RxRecon does not independently verify the source data and cannot guarantee the accuracy of any output.

THERAPEUTIC EQUIVALENCE INFORMATION: Therapeutic equivalence (TE) data is sourced from FDA Orange Book and other public databases. This information is provided for reference only and should be verified against current FDA publications before making any clinical or operational decisions.

NO LEGAL OR COMPLIANCE ADVICE: RxRecon Pro does not provide legal, regulatory, or compliance advice. Users should consult with qualified legal counsel and compliance professionals regarding regulatory requirements and audit findings.

LIMITATION OF REMEDIES: In no event shall RxRecon Pro be liable for any actions taken or not taken based on reports generated by the Service. All audit findings should be independently verified before implementation.
